Creator Payment Agreement

You earn a share of the revenue from the events you host. There is no fee for applying, for being approved, or for holding a slot on the calendar — you are paid for events you actually host.

Compensation is calculated per event and is your total compensation for hosting it. Spill Club does not pay hourly and does not separately reimburse preparation time, your own materials, or equipment, unless we agree otherwise in writing in advance.

Unless otherwise agreed in writing, revenue from each event you host — beginning with your second completed hosted event — is shared as follows.

Ticket-only events.

• The Creator will receive 75% of Gross Ticket Sales.

Events with optional supply kits.

• The Creator will receive 75% of Gross Ticket Sales, plus 75% of Supply Kit Revenue after deduction of the direct Supply Cost.

Gross Ticket Sales, Supply Kit Revenue, and Supply Cost are defined in Section 6. A Creator's first completed hosted event on Spill Club qualifies for the enhanced First Event Revenue Share instead — see Section 3.

Spill Club may, in its sole discretion, offer promotional or incentive revenue share arrangements to individual creators or groups of creators from time to time. Any such promotional arrangement will apply only as expressly communicated by Spill Club and will not modify the Standard Revenue Share unless stated otherwise in writing.

A Creator's first completed hosted event on Spill Club qualifies for the First Event Revenue Share described in this Section. This enhanced share applies once — to the first event the Creator actually hosts to completion — and does not apply to any later event the Creator hosts or co-hosts.

For the Creator's first completed hosted event:

• Ticket-Only Events: The Creator will receive 100% of Gross Ticket Sales. Spill Club retains no revenue share from the Creator's first event.
• Events with Optional Supply Kits: the direct Supply Cost is deducted first; the Creator will then receive 100% of Gross Ticket Sales and 100% of the remaining Supply Kit Revenue.

After the Creator's first completed hosted event, the Standard Revenue Share in Section 2 automatically applies to every event thereafter.

Spill Club reserves the right to modify its revenue share program for future events upon reasonable notice. Any such modification will not affect payouts already earned or events for which ticket sales have already begun unless otherwise agreed in writing.

Spill Club operates and maintains the platform and provides the services necessary to facilitate Creator events. This includes, but is not limited to, ticketing, payment processing, customer support, attendee communications, livestream infrastructure, platform maintenance, marketing support (where applicable), and other operational services necessary to facilitate events.

Except as expressly stated in this Agreement, these operational costs are borne by Spill Club and are not deducted from the creator's revenue share.

The creators' share of an event belongs to the creator pool for that event, not to any individual creator. When an event has more than one host, that pool is shared among the participating creators.

Unless otherwise agreed in writing, the creators' share of an event's Gross Ticket Sales — and, for supply-kit events, the creators' share of Supply Kit Revenue after the Supply Cost — is divided equally among the participating creators. For a standard event with two hosts, that means each generally receives 37.5% of the event's Gross Ticket Sales (plus an equal share of the supply-kit portion, where applicable), as defined in Section 6.

The First Event Revenue Share in Section 3 applies to a creator's own first hosted event. Where a first-time creator co-hosts, the enhanced share applies to that creator's portion of the pool.

Spill Club may agree to a different allocation for a particular event. Any different allocation will be communicated to all participating creators before the event.

The following terms are used throughout this Agreement.

Gross Ticket Sales means the total amount collected from ticket purchases for an event, excluding applicable sales taxes, refunds, chargebacks, and optional supply kit purchases.

Supply Kit Revenue means the total amount collected from attendees for optional supply kits.

Supply Costmeans Spill Club's direct cost of assembling and delivering the supply kit — including purchasing, packaging, and shipping (if applicable) the supplies it contains.

Your share of Supply Kit Revenue is calculated after deduction of the direct Supply Cost, as described in the Revenue Share sections above. You never pay for supply kits. The Supply Cost is simply excluded before your share of Supply Kit Revenue is calculated, because Spill Club has already paid for it — it is never billed to you and never taken out of your earnings from tickets.

Payout timing. Creator payouts are initiated within seven (7) business daysafter completion of the applicable hosted event, provided there are no outstanding refunds, payment disputes, chargebacks, suspected fraudulent activity, or other issues requiring review. Once a payout is initiated, the time for funds to reach you depends on your bank and payment provider and is outside Spill Club's control.

How refunds and adjustments affect your share. Your revenue share is calculated using eligible ticket and supply-kit transactions after accounting for refunds, chargebacks, payment reversals, fraudulent transactions, and other payment adjustments — consistent with Gross Ticket Sales, Supply Kit Revenue, and Supply Cost as defined in Section 6.

If a refund or adjustment occurs before your payout is initiated, the affected transaction is excluded from your payout. If a refund, chargeback, payment reversal, or other adjustment occurs after you have already been paid, Spill Club may deduct or offset the applicable amount from future Creator payouts, or otherwise recover any resulting overpayment to the extent permitted by law. If we later recover a disputed charge, your share of it is restored on a future payout.

If you think an adjustment or payout is wrong, contact us and we will review it with you, as described in Section 12.

Cancelled or incomplete events.Creator revenue share is earned only for completed events, and only with respect to transactions that are not refunded or otherwise reversed. If an event is cancelled before completion, no Creator revenue share is owed on refunded purchases. How and when attendees are refunded is governed by Spill Club's attendee-facing Terms of Service and refund policy, and by the cancellation provisions of the Creator Terms & Conditions; this Agreement does not create separate refund rules.

Creator no-shows. If a Creator fails to host a scheduled event without prior approval from Spill Club, Spill Club may cancel or reschedule the event, issue refunds or credits to attendees, and withhold any Creator payout associated with that event.

Platform cancellation or postponement. Spill Club may postpone, reschedule, or cancel an event due to technical failures, safety concerns, force majeure, suspected fraud, or other circumstances that materially affect the event. When reasonably practicable, Spill Club will work with the Creator to reschedule the event. Any payout for an affected event is based on the final resolution of that event and any refunds or credits provided to attendees.

Spill Club may update its payment policies as the business develops. If a change reduces your compensation or materially changes how or when you are paid, we will give you reasonable notice — at least thirty (30) days by email — before it takes effect.

Events already scheduled are protected. A change does not apply to an event that is already on the calendar when we send the notice; those are paid on the terms in effect when the event was scheduled.

If you do not accept a change, you may stop hosting before it takes effect, and you will still be paid for every event you hosted beforehand. Continuing to host after the effective date means you accept the updated terms. Corrections of obvious errors, and changes that increase your compensation, may take effect immediately.

You are responsible for your own taxes. Creators are solely responsible for reporting and paying any taxes arising from payments received under this Agreement, except for taxes that Spill Club is legally required to collect, withhold, or remit. As an independent contractor, nothing is withheld from what we pay you — no income tax, no self-employment tax, no social security or Medicare contributions. Amounts paid to you are gross.

You may need to provide valid tax information before we can pay you, and we may be required to report amounts paid to you to the tax authorities. We will tell you what is needed.

Sales tax on tickets, where it applies, is collected and handled by Spill Club and is never part of your revenue share. Nothing in this document is tax advice — please speak to a tax professional about your own situation.

Payments are issued using the payment method designated by Spill Club. We will tell you what that method is and what details we need from you.

You are responsible for giving us accurate payment details and keeping them current. We are not liable for payments delayed or misdirected because the details you gave us were wrong or out of date. If a payment fails or is returned, we will contact you and reissue it once corrected details are supplied.

If you think a payment is wrong, email us with the event date and what you expected, and we will review the calculation and explain or correct it. Please raise it within 60 days of receiving the payment so we can look into it while the records are fresh.
